1. Acceptance of Terms

By accessing or using InstaClinic.ai (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not accept all of the Terms, you must not use the Service.

2. Definitions

  • "User" – any visitor, clinic, patient, administrator, or other party that accesses the Service.
  • "Administrator" – a User with elevated privileges to configure, operate, or maintain the Service on behalf of a clinic.
  • "Personal Information" ("PI") – information about an identifiable individual as described in our Privacy & Personal Information Protection Policy.

3. Appropriate Use & Medical Disclaimer

3.1 ) Users shall:

  • provide accurate, current information;
  • use the Service only for lawful, healthcare‑related purposes;
  • respect all security controls (MFA, role‑based access, audit logging);
  • not copy, scrape, or otherwise misuse PI; and
  • honour their marketing‑communication preferences (opt‑in/opt‑out).

3.2 ) No Medical Advice:

The Service is an administrative tool (e.g., call handling, scheduling) and does not provide medical diagnosis or treatment. In a medical emergency, dial your local emergency number (e.g., 911 in North America).

4. Security, Data Retention & Cookies

4.1 ) Security Measures

  • Data in transit is encrypted with TLS 1.2+; data at rest with AES‑256.
  • Administrator credentials are protected by MFA and scoped least‑privilege roles.

4.2) Data Retention

  • Voice recordings are retained for 30 days then deleted.
  • Call metadata is retained only for the minimum period required by applicable law. Detailed retention schedules are in our Privacy Policy.

5. Prohibited Activities

Users may not: (a) reverse engineer or decompile the Service; (b) interfere with servers or networks; (c) upload malicious code; (d) infringe IP or privacy rights; or (e) attempt unauthorised access to any portion of the Service.

6. Operation, Maintenance, Termination & Administrator Rules

6.1) Planned Maintenance.

We may perform maintenance between 02:00–05:00 ET. Planned downtime >30 minutes will be announced at least 48 h in advance to registered Administrators.

6.2) Updates & New Features

Functionality may evolve; materially adverse changes will be notified 30 days before taking effect.

6.3) Emergency Changes

We may deploy security patches without notice if required to protect PI or Service integrity.

6.4) Administrator Responsibilities

Administrators must:

  • keep credentials confidential and enable MFA;
  • rotate passwords at least every 90 days and immediately following any suspected compromise;
  • ensure only authorised personnel access the Service; and
  • promptly de‑provision accounts for departed staff. Audit logs for administrator actions are retained for 365 days.

6.5) Suspension & Termination

We may suspend or terminate access, in whole or in part, immediately if a User breaches these Terms, threatens Service security or integrity, or if required by law. Clinics remain responsible for any fees and damages resulting from such breach.

7. User Support.

  • Standard support hours: 09:00–17:00 ET, Monday–Friday (excluding Canadian public holidays).

  • Response targets: Severity 1 – 2 h; Severity 2 – 8 h; Severity 3 – 2 business days.

8. Privacy & User Rights

Our Privacy Policy explains the legal basis for processing, access/correction/deletion rights, marketing‑communication preferences, cross‑border transfers, and our complaint‑handling procedure.

9. Intellectual Property & Licence

All right, title, and interest in the Service and its content remain the exclusive property of InstaClinic.ai or its licensors. Users receive a non‑exclusive, revocable licence to access and use the Service in accordance with these Terms. Nothing herein conveys any ownership in the Service or its underlying technology.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

11. Limitation of Liability

To the maximum extent permitted by law, InstaClinic.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.

12. Changes to These Terms

We may modify these Terms at any time. Changes will be posted at this URL with the “Last updated” date revised. Where changes are material, we will provide 30 days’ notice to registered Administrators. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict‑of‑law principles.
